“They say the university supports spinouts.” They don’t always tell you how much it will cost you.

Licensing negotiations can feel opaque and unfair—equity percentages, royalty rates, field‑of‑use clauses. Universities want a return, but burdensome terms can kneecap a startup before it starts.

Treat the technology transfer office as a partner, not an adversary. Share your business plan, explain why a lower royalty now might lead to a bigger societal impact later, and negotiate firmly but respectfully.
